These Terms of Use and Sale (the “TOUS”) constitute a legally binding agreement between Matthias Sylla, sole proprietor in the process of formalization (“ONAA” or “we”), registered under SIREN [to be completed once obtained], domiciled at La Garenne-Colombes, Hauts-de-Seine, France, and the client, acting in their own name or on behalf of an entity (“Client”), regarding access to and use of the website https://www.onaa.art/ (the “Site”) and any related media. Any breach results in prohibition of Site use. Client’s payment obligations for services rendered persist independently.
Intellectual Property Rights
The Site and its content (source code, designs, texts, images, videos – hereinafter the “Content”) as well as trademarks are exclusively owned by ONAA, protected by French law (CPI) and international law. Content is provided “as is” for personal informational use only. No reproduction, distribution, or commercial exploitation is permitted without ONAA’s prior written consent.
Ownership of services
All projects created for the Client (“Projects”: influencer marketing strategies, social media campaigns for art/galleries/museums, viral content for exhibitions, NFT designs, web3 campaigns, art/crypto marketing) become the Client’s exclusive property upon full payment. ONAA irrevocably assigns all rights (including moral rights) to the original source files. The Client warrants that its inputs do not infringe any third-party rights (IP, image rights). ONAA reserves the right to public showcasing (site, social media) unless NDA agreement (clause 19).
Fonts, Creator Assets and Third-Party Element
If a Project incorporates fonts, influencer assets (images, Reels videos) or third-party elements requiring a commercial license, ONAA will notify the Client in writing (identity, purchase required). The Client assumes full responsibility post-notification for licenses and legal consequences.
Client Representation
The Client certifies being of legal age, legally capable, and agrees not to use the Site illegally, automatedly, or fraudulently, nor in violation of French laws/RGPD.
Prohibited Activities
Use limited to needs related to ONAA Services. Prohibited: scraping, reverse engineering, harassment, unfair competition, virus transmission, or any campaign disruption
Privacy Policy
Linked to the TOUS, RGPD compliant (DPO: Matthias Sylla, matthias@onaa.art). France/EU hosting; explicit consent for data.
Governing Laws
Exclusive French law; Nanterre Commercial Court.
Disputes
All disputes before Nanterre Commercial Court; exclusion of CISG 1980.
